
GLOBAL VENDOR AGREEMENT
(Applicable to Contractors, Agencies, Suppliers & Professional Service Providers)

Effective Upon Acceptance
This Global Vendor Agreement (“Agreement”) outlines the terms and conditions governing the relationship between IGLOO GROUP (“IGLOO,” “we,” or “our”) and any contractor, supplier, agency, or professional service provider (“Vendor,” “you,” or “your”).
This Agreement is designed to comply with recognized international commercial, procurement, and compliance standards, including the principles of the UN Convention on Contracts for the International Sale of Goods (CISG), UNCITRAL Model Laws, UNIDROIT Principles, ISO Procurement Standards, anti-bribery and anti-corruption frameworks, and international construction norms.
By completing registration, submitting documentation, or proceeding with payment, you confirm your full agreement with the terms herein.
1. DEFINITIONS
Vendor: Any entity or individual providing goods, works, or professional services to IGLOO GROUP.
Services: All deliverables, works, goods, supplies, and professional services offered.
Projects: All IGLOO GROUP initiatives across international jurisdictions, including future developments.
Registration Payment: The mandatory administrative fee for vendor evaluation, verification, and onboarding.
2. PURPOSE
This Agreement establishes a globally recognized framework to ensure compliance, transparency, ethical business conduct, and high-quality performance across all IGLOO GROUP procurement and contracting engagements.
3. INTERNATIONAL LEGAL FRAMEWORK
This Agreement is crafted to align with widely accepted international standards, including:
UNIDROIT Principles of International Commercial Contracts
UNCITRAL Model Law on Public Procurement
International Chamber of Commerce (ICC) Commercial Standards
ISO 9001 Quality Management Standards
ISO 31000 Risk Management Requirements
ISO 37001 Anti-Bribery Management Systems
World Bank and African Development Bank Procurement Guidelines
FIDIC Construction Contract Principles
CISG (for supply of goods across borders, where applicable)
These standards are incorporated by reference to the extent they do not conflict with mandatory national laws in the jurisdiction where an IGLOO GROUP project is executed.
4. VENDOR ELIGIBILITY REQUIREMENTS
To qualify for consideration within the IGLOO GLOBAL Vendor Network, you must:
1. Complete the vendor registration form accurately.
2. Submit all required compliance and corporate documents.
3. Pay the applicable registration or verification fee.
4. Maintain valid licenses, certifications, insurances, and professional accreditations.
5. Agree to IGLOO GROUP’s global compliance policies, including anti-bribery and data privacy.
6. Adhere to relevant health, safety, environmental (HSE) and quality assurance standards.
5. VENDOR CONDUCT & ETHICAL COMPLIANCE
All Vendors must comply with:
UN Global Compact Principles
OECD Guidelines for Multinational Enterprises
International anti-corruption laws, including:
UK Bribery Act
US Foreign Corrupt Practices Act (FCPA)
OECD Anti-Bribery Convention
Anti–Money Laundering (AML) standards
Data privacy requirements, including GDPR-equivalent principles
Local and international labor, safety, and environmental regulations
IGLOO GROUP maintains a zero-tolerance policy for bribery, facilitation payments, collusion, bid-rigging, fraud, or unethical conduct.
6. REGISTRATION PAYMENT
6.1 Mandatory Payment
All vendors must complete the required registration or verification fee prior to final evaluation.
6.2 Non-Refundable
The fee is strictly non-refundable, unless otherwise required by mandatory law.
6.3 Purpose
The fee covers administrative handling, global compliance screening, risk assessment, and onboarding validation.
7. VENDOR PARTICIPATION SCOPE
Approval grants the Vendor eligibility to be considered for:
Construction works (civil, mechanical, electrical, infrastructure)
Procurement of materials, equipment, and supplies
Engineering, architectural, and consultancy services
Professional, technical, and specialized services
Participation in all IGLOO GROUP subsidiaries and future expansions (e.g., GIU, NADI, and others)
Vendor approval does not guarantee contract award.
8. PERFORMANCE, QUALITY & SAFETY STANDARDS
Vendors must meet or exceed:
International Safety Standards (ISO 45001, OSHA equivalents)
Quality Control Standards (ISO 9001)
Environmental Standards (ISO 14001)
FIDIC-aligned construction performance principles
Technical specifications defined by IGLOO GROUP
Non-performance may result in suspension or removal.
9. CONFIDENTIALITY & DATA PROTECTION
Vendors must maintain absolute confidentiality of all IGLOO GROUP information and comply with:
GDPR-equivalent global data protection principles
International data privacy requirements
Contractual confidentiality obligations
This obligation survives termination.
10. INTELLECTUAL PROPERTY
All project documents, drawings, data, and materials provided by IGLOO GROUP remain its exclusive intellectual property.
Vendors may use such materials solely for project-related purposes and may not share them externally without written authorization.
11. PAYMENT TERMS FOR AWARDED WORKS
Payments for contracted works or supplies will be governed by:
The specific project contract
Purchase orders
Task orders or service-level agreements
These documents override the general vendor registration terms.
Vendor registration payments do not form part of any project contract’s financial consideration.
12. TERMINATION AND SUSPENSION
IGLOO GROUP may immediately suspend or terminate a Vendor’s participation for:
Misrepresentation or submission of false documents
Breach of contractual or ethical obligations
Corrupt or fraudulent practices
Poor performance or safety violations
Non-compliance with international standards
Termination does not entitle the Vendor to any refund.
13. LIMITATION OF LIABILITY
IGLOO GROUP is not liable for:
Loss of opportunity
Loss of revenue or anticipated profits
Consequential, indirect, or incidental damages
Claims arising from Vendor’s internal business decisions
The Vendor’s sole remedy is discontinuation of participation.
14. GOVERNING LAW & INTERNATIONAL DISPUTE RESOLUTION
14.1 Governing Law
This Agreement shall be governed by the general principles of international commercial law, together with the laws of the jurisdiction in which the related IGLOO GROUP project is executed.
14.2 Dispute Resolution
Any dispute shall be resolved through:
1. Good-faith negotiation, failing which
2. Mediation under internationally recognized rules, failing which
3. Arbitration under one of the following (as designated by IGLOO GROUP):
ICC Arbitration Rules
UNCITRAL Arbitration Rules
Lagos Court of Arbitration (LCA)
Dubai International Arbitration Centre (DIAC)
London Court of International Arbitration (LCIA)
The arbitral award shall be final and binding.
15. ACCEPTANCE
By submitting registration, documentation, or payment, you confirm that:
You have read and understood this Agreement.
You agree to be bound by all its terms.
You are legally authorized to accept on behalf of your organization.
Your participation is voluntary and compliant with your local laws.
